I think you may be a bit confused about the difference between html and php. PHP is a server side and HTML is client side. PHP processes on the server and html renders on the browsers. If you switch to a program that runs on PHP like Magneto, you will be serving HTML to viewers of your website, as the php processes on the server, and the html gets outputted.
As far as impact to SEO the main thing to address is to make sure your high ranking URLs get 301 redirected to the new page on the new platform.

EMD is not likely not an issue, Panda is more likely a problem. Which means you need to evaluate the content of your website. Make sure its unique, fresh, and site is something people find appealing and easy to use. Switching to a better CMS (content management system) may help with this issue, but it is not a magic fix. Even the best CMS's (Wordpress, Joomla, Oscommerce, Magneto) all require a lot of work to make them unique.
Switching to divs from tables allows for flexibility which is what most CMS strive for, but it isn't necessarily an upgrade, and you'll find tables used inside these CMS's as well, just not as prominently.
In the end, spending the time to make unique, user friendly and seo ready website is what it takes to start ranking any site. It doesn't matter how good the CMS, or template, or self written site, good work which takes time is what pays off in the end.

This is not hard to do on a with .httaccess I don't know of any value other then it makes the url easier to remember for users.
